By using the Platform in any manner, whether as a visitor, buyer, author (seller), developer, or affiliate, you agree to comply with these Terms and all other policies incorporated by reference, including but not limited to our Privacy Policy, Cookie Policy, License Policy, Refund & Cancellation Policy, Buyer Policy, Author Policy, and other applicable documents.

These Terms are designed to clearly explain your responsibilities, our responsibilities, and the rules that apply to everyone using our Platform. Please read these Terms carefully before using our services. If you do not agree to these Terms, you must stop using the Platform immediately.

 

1. Acceptance of Terms and Binding Agreement

1.1 By using the Platform, you acknowledge that you have read, understood, and agree to be legally bound by these Terms.

6.2 Violations may lead to immediate suspension or termination of your account and legal action if warranted.

 

7. Intellectual Property Compliance

7.1 You agree to respect all intellectual property laws, including copyright, trademark, patent, and trade secret laws.
7.2 Authors must ensure that all listed products are original or properly licensed.
7.3 Buyers must use purchased products strictly according to their license terms.
7.4 Infringement may result in takedown, account termination, forfeiture of earnings, and legal consequences.

 

8. User Content and Licensing to Codoser

8.1 Users retain ownership of their content but grant Codoser a non-exclusive, worldwide, royalty-free license to host, display, and distribute content on the Platform.
8.2 This license allows us to display products, images, text, and other materials for the purpose of operating and promoting the marketplace.
8.3 You represent and warrant that you have all rights necessary to grant this license.

 

9. Buyer Responsibilities

9.1 Buyers are responsible for ensuring that payment information is valid and authorized.
9.2 Buyers must comply with the License Policy for any purchased product.
9.3 Buyers must not redistribute, resell, or sublicense products unless expressly allowed by the license.
9.4 Buyers should review refund eligibility carefully before purchasing, as most sales are final.

 

10. Author Responsibilities

10.1 Authors must only upload original or properly licensed content.
10.2 Authors must maintain the quality and security of their products and comply with marketplace technical and legal standards.
10.3 Products must not include malicious code, unauthorized data collection mechanisms, or hidden functions.
10.4 Authors are responsible for providing accurate descriptions, documentation, and metadata.
10.5 Authors must comply with all payout, tax, and KYC/AML requirements.

 

11. Product Licensing Rules

11.1 All digital products on the Platform are sold under a license, not ownership transfer.
11.2 The License Policy defines how products may be used, modified, or distributed.
11.3 Buyers must read and understand license terms before purchase.
11.4 Violating license terms may lead to revocation of rights and legal action.

 

12. Payments, Fees, and Transactions

12.1 All transactions must be completed through authorized payment gateways.
12.2 Buyers authorize Codoser to charge their selected payment method for purchases, taxes, and fees.
12.3 Codoser may apply platform or transaction fees as described in the Payment, Fees & Tax Policy.
12.4 Fraudulent or unauthorized transactions will be investigated and may result in account suspension.

 

13. Taxes and Invoices

13.1 Buyers are responsible for applicable GST, VAT, sales, or use taxes.
13.2 Authors are responsible for declaring and paying their own income taxes and complying with tax regulations in their jurisdictions.
13.3 Codoser may withhold taxes where required by law.
13.4 Electronic invoices are generated for each transaction.

 

14. Refunds and Cancellations

14.1 Due to the nature of digital goods, refunds are generally not provided.
14.2 Exceptions may apply as described in the Refund & Cancellation Policy (e.g., duplicate payments, corrupted files).
14.3 Refund requests must be made through proper support channels and within specified timeframes.

 

15. Reviews and Feedback

15.1 Buyers may leave reviews that reflect their genuine experience with a product.
15.2 Reviews must not contain harassment, false claims, defamation, or spam.
15.3 Review manipulation through fake accounts or incentives is prohibited.

 

16. Community Guidelines

16.1 All users must follow Community Guidelines that promote respectful, lawful, and constructive interactions.
16.2 Hate speech, threats, illegal content, or spam will not be tolerated.
16.3 Violations may lead to content removal, account moderation, or permanent suspension.

 

17. Data Protection Obligations

17.2 Authors collecting user data through their products must provide clear disclosures and follow legal standards.
17.3 Misuse of user data can lead to legal consequences and account termination.

18.2 Users may manage cookie preferences in their browser or via consent tools.
18.3 Disabling essential cookies may affect platform functionality.

 

19. Platform Security

19.1 Users must not attempt to breach, bypass, or exploit Platform security.
19.2 Responsible disclosure of security vulnerabilities is encouraged through proper channels.
19.3 Violations may result in suspension and legal prosecution under cyber laws.

 

20. API Access and Developer Use

20.1 API usage is subject to fair use, rate limits, and security guidelines.

24. Service Availability and Maintenance

24.1 While we strive for high availability, we do not guarantee uninterrupted access.
24.2 Planned or emergency maintenance may result in temporary downtime.

 

25. Governing Law and Jurisdiction

25.1 These Terms are governed primarily by Indian law, with courts of Pune, Maharashtra having primary jurisdiction.
25.2 International users must also comply with their local laws.
25.3 Consumer protections under mandatory local laws remain unaffected.

 

26. Limitation of Liability

26.1 To the maximum extent permitted by law, Codoser shall not be liable for any indirect, incidental, consequential, punitive, or exemplary damages, including loss of profits, data, goodwill, or business opportunities, arising out of or in connection with your use of the Platform, even if we have been advised of the possibility of such damages.
26.2 Codoser’s total aggregate liability for all claims arising under these Terms shall not exceed the greater of: (a) INR 25,000 or (b) the total fees you paid to Codoser in the three months preceding the claim.
26.3 Some jurisdictions do not allow certain liability limitations. In such cases, the limitation will apply to the fullest extent permitted by law.
26.4 Authors remain solely responsible for the quality, legality, and fitness of their products. Buyers are responsible for evaluating the suitability of products before use.

 

27. Disclaimers

27.1 The Platform and all products are provided on an “AS IS” and “AS AVAILABLE” basis, without warranties of any kind, either express or implied.
27.2 Codoser disclaims all warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade.
27.3 We do not guarantee that the Platform will be secure, error-free, available at all times, or meet your specific requirements.
27.4 Any reliance on information or products obtained through the Platform is at your own risk.

 

28. Indemnification

28.1 You agree to indemnify, defend, and hold harmless Codoser, its officers, employees, directors, agents, partners, and affiliates from and against any claims, damages, liabilities, losses, costs, or expenses (including reasonable legal fees) arising out of or related to:
– Your content or products,
– Your breach of these Terms,
– Your violation of any law or third-party rights,
– Any transaction or dispute between you and another user.
28.2 Codoser reserves the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate.

 

29. Dispute Resolution Process

29.1 Before taking any formal action, users agree to attempt to resolve disputes informally by contacting Codoser support.
29.2 If informal resolution fails, disputes will follow the procedures set out in the Dispute Resolution Policy, which may involve negotiation, mediation, or arbitration where applicable.
29.3 Users agree to act in good faith during dispute resolution.
29.4 Unresolved disputes shall be governed by Clause 25 on jurisdiction and governing law.

 

30. Reviews, Investigations, and Enforcement

30.1 Codoser reserves the right to review user activities, investigate suspected violations, and take action to enforce these Terms.
30.2 Enforcement actions may include content removal, account suspension, withholding of funds, termination, and reporting to law enforcement authorities.
30.3 Codoser is not obligated to monitor all user activity but may do so for security, quality, or legal compliance.

 

31. DMCA and IP Takedown Procedure

31.1 Codoser complies with international intellectual property protection mechanisms, including the Digital Millennium Copyright Act (DMCA) and similar laws.
31.2 Rights holders can submit formal takedown notices containing required legal information.
31.3 Upon receiving a valid notice, Codoser may remove or disable access to allegedly infringing content.
31.4 Users may file counter-notices as permitted by law. Repeated infringement may lead to account termination.

 

32. Export Controls and Sanctions

32.1 Users must comply with all applicable export control laws and sanctions regulations, including those administered by India, the U.S., the EU, and the UN.
32.2 You may not use the Platform if you are located in a sanctioned country or are a restricted party.

33. Anti-Bribery and Anti-Corruption Compliance

33.1 Users must comply with applicable anti-corruption laws, including the Indian Prevention of Corruption Act, U.S. FCPA, and UK Bribery Act.
33.2 Offering, soliciting, or accepting bribes, kickbacks, or other improper payments in relation to Platform activities is strictly prohibited.
33.3 Violations may lead to immediate termination and referral to competent authorities.

 

34. Accessibility and Non-Discrimination

34.1 Codoser is committed to providing an accessible and inclusive Platform.
34.2 Users should not engage in discriminatory conduct, harassment, or exclusionary practices in any interactions.
34.3 We welcome feedback regarding accessibility improvements.

 

35. Confidentiality Obligations

35.1 Users may receive confidential information during transactions (e.g., payment details, source code). You agree to keep such information confidential and use it only for legitimate purposes.
35.2 Public disclosure of confidential information without permission is prohibited.
35.3 Codoser may disclose information where legally required or necessary to protect Platform integrity.

 

36. Third-Party Links and Services

36.1 The Platform may contain links to third-party websites or services. These are provided for convenience only and do not imply endorsement.
36.2 Codoser is not responsible for third-party content, privacy practices, or availability.
36.3 Users interact with third-party services at their own risk and must comply with those services’ terms.

37.1 Codoser may offer beta features or experimental tools. These are provided “as is” and may be changed or discontinued at any time.
37.2 Beta features may have limitations, bugs, or incomplete functionality.
37.3 Use of beta features is voluntary and at your own risk.

 

38. Responsible Disclosure of Vulnerabilities

38.1 If you discover a security or technical vulnerability, you agree to report it responsibly to our security contact, not publicly disclose it, and provide reasonable time for remediation.

40. Account Termination by User

40.2 Termination does not affect rights and obligations incurred prior to termination (e.g., license grants, payment obligations).
40.3 We may retain certain data for legal or compliance reasons as required.

 

41. Survival of Obligations

41.1 Upon account termination, clauses relating to licenses, intellectual property, confidentiality, limitation of liability, indemnification, dispute resolution, and similar provisions shall survive.
41.2 Buyers’ license rights to previously purchased products remain valid under the applicable License Policy unless revoked due to breach.

 

42. Assignment of Rights

42.1 You may not assign or transfer your rights or obligations under these Terms without our prior written consent.
42.2 Codoser may assign these Terms, in whole or in part, in connection with a merger, acquisition, corporate reorganization, or sale of assets.

 

43. Force Majeure

43.1 Neither party shall be liable for delays or failures to perform due to causes beyond their reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, pandemics, power outages, or government actions.
43.2 Affected parties must make reasonable efforts to resume performance as soon as practicable.

 

44. Severability

44.1 If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.
44.2 The invalid provision shall be replaced with a valid one that most closely reflects the original intent.

 

45. No Waiver

45.1 Failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
45.2 Any waiver must be in writing and signed by an authorized representative of Codoser.

 

46. Entire Agreement

46.1 These Terms, together with all incorporated policies, constitute the entire agreement between you and Codoser regarding Platform use and supersede prior agreements.
46.2 If there is a conflict between these Terms and other policies, these Terms will prevail to the extent of the conflict unless stated otherwise.

 

47. Interpretation

47.1 Headings are for convenience only and do not affect interpretation.
47.2 “Including” means “including without limitation.”
47.3 These Terms are drafted in English; translations are for convenience only.

 

48. Communications and Notices

48.1 By using the Platform, you consent to receive communications electronically.

48.3 Notices are deemed received when sent or posted unless otherwise required by law.

 

49. Class Action Waiver (Where Permitted)
