Terms & Conditions

    These Terms & Conditions (“Terms”) form a binding agreement between Codoser Technologies Private Limited (“Codoser,” “we,” “us,” “our”) and any person or entity (“you,” “user,” “buyer,” “author,” “seller”) accessing or using Codoser.com and associated services (the “Platform”). By accessing, registering, purchasing, listing, downloading, or otherwise using the Platform, you agree to be bound by these Terms and all policies incorporated by reference.

Global Applicability & Jurisdiction (Option B): These Terms are governed primarily by the laws of India (courts of Maharashtra having exclusive jurisdiction), and international users must also comply with local laws applicable in their jurisdiction. If local law prohibits or restricts access to the Platform, you must not use it.

 

1) Definitions

a) Platform: Codoser.com, mobile experiences, APIs, documentation, dashboards, and any related services.
b) Author/Seller: Any user listing, licensing, or selling digital products via the Platform.
c) Buyer/Customer: Any user purchasing, licensing, or downloading products via the Platform.
d) Product: Digital items including but not limited to source code, scripts, plugins, themes, templates, software, graphics, UI kits, and documentation.
e) License: Rights granted to Buyers for Product use as per the License Policy (e.g., Regular, Extended).
f) Policies: The documents incorporated by reference: Terms of Use, Privacy Policy, Cookie Policy, Refund & Cancellation Policy, Author Policy, Buyer Policy, License Policy, IP/DMCA Policy, KYC/AML Policy, Grievance Redressal Policy, Payment/Fees & Tax Policy, Data Security Policy, Risk Management & Fraud Prevention Policy, Dispute Resolution Policy, Affiliate Policy, Community Guidelines.
g) Content: All materials uploaded, posted, submitted, or otherwise made available on the Platform, including Product files, listings, metadata, images, descriptions, reviews, comments, and communications.
h) Gateways: Third-party payment processors (e.g., Razorpay/PayPal/Stripe or similar).
i) Confidential Information: Non-public information disclosed by a party, including technical, business, or financial information.

 

2) Acceptance of Terms

a) By using the Platform, you confirm you have read, understood, and agree to these Terms and the Policies.
b) If using on behalf of an organization, you represent you have authority to bind that entity.
c) If you do not agree, you must not access or use the Platform.
d) Inconsistencies: If a conflict exists, these Terms control, followed by the specific policy most closely applicable to the subject matter (see Clause 54).

 

3) Eligibility & Authority

a) You must be at least 18 years old or of legal age in your jurisdiction.
b) You must have capacity to contract and not be barred by applicable laws or sanctions regimes.
c) Organizations must ensure only authorized representatives access Author features or billing.

 

4) Account Registration

a) Accurate, complete registration information is required; you must update it promptly.
b) Multiple accounts for abusive purposes are prohibited; we may merge/close duplicates.
c) We may require KYC at onboarding or anytime later (see Clause 28).

 

5) Account Security

a) You are responsible for safeguarding credentials, enabling available security controls (e.g., MFA), and monitoring account activity.
b) Notify us immediately of suspected compromise.
c) We are not liable for losses resulting from unauthorized use if reasonable security measures were available but not used.

 

6) Marketplace Structure & Relationship

a) Codoser provides a facilitated marketplace: Authors list Products; Buyers purchase licenses.
b) Unless expressly stated, the sale/license is between Author and Buyer; Codoser acts as platform facilitator and limited agent for payment collection and order delivery.
c) Codoser does not own third-party Products and does not provide warranties on Author Products (see Clause 44).
d) Codoser may curate, moderate, rank, feature, discount, or recommend Products at its discretion.

 

7) Product Listing Standards

a) Authors shall list only original, lawful Products with accurate titles, descriptions, tags, previews, and documentation.
b) Products must meet quality, security, and performance criteria specified in the Author Policy and Data Security Policy.
c) Bundling third-party code/assets must comply with applicable licenses and attributions.
d) No hidden malware, spyware, backdoors, or license-violating components.

 

8) Prohibited Content & Activities

a) Pirated, “nulled,” cracked, or infringing content is strictly prohibited.
b) Malicious code, obfuscated payloads, or unauthorized data collection is forbidden.
c) Activities that disrupt the Platform, scrape data at scale, circumvent fees, manipulate ratings/reviews, or engage in fraud are prohibited.
d) Content violating export laws, sanctions, hate speech, harassment, or illegal conduct is prohibited.

 

9) Licensing Framework

a) Buyers receive a license (not ownership) as per License Policy (Regular/Extended and any variants).
b) Redistribution, resale, sharing, or sublicensing outside the License terms is prohibited.
c) License terms include usage scope, install/project/domain limits, modification rights, and restrictions.
d) Examples of permitted/prohibited uses form part of the License Policy and are binding.

 

10) Pricing, Promotions & Discounts

a) Authors may propose prices; Codoser may set floors/ceilings, taxes, or promotional pricing frameworks.
b) Codoser may run Platform-wide promotions and apply discounts consistent with the Author Policy.
c) Typographical pricing errors may be corrected; affected orders may be cancelled/refunded.

 

11) Payments & Fees

a) Buyers authorize Codoser/Gateways to charge the displayed amount, taxes, and applicable fees.
b) Platform fees, transaction fees, and currency conversion costs are detailed in the Payment, Fees & Tax Policy.
c) Orders may be declined or reversed for suspected fraud, chargebacks, sanctions, or policy breaches.

 

12) Taxes & Invoices

a) Buyers: Responsible for GST/VAT/sales/use taxes as applicable; Codoser may collect/remit where required.
b) Authors: Responsible for income taxes, GST registration (if applicable), and compliance in their jurisdictions.
c) TDS/Withholding: May apply under Indian or foreign tax laws; see Payment, Fees & Tax Policy.
d) Invoices/Receipts: Issued electronically and may reflect self-billing where permitted.

 

13) Payouts to Authors

a) Payout schedules, minimum thresholds, reverse periods, and methods are set out in the Author Policy.
b) Codoser may withhold payouts for chargebacks, refunds, suspected fraud, or regulatory requests.
c) Currency conversions are at Gateway/Platform rates; fees may apply.

 

14) Chargebacks, Refunds & Reversals

a) Chargebacks may result in reversal of payouts and additional fees.
b) Codoser may assist with evidence but does not guarantee outcomes.
c) Abuse of chargebacks is a policy breach and may result in account action.

 

15) Order Fulfillment & Delivery

a) Digital Products are delivered via download links or account libraries upon successful payment.
b) Access may be time-limited for security or compliance reasons; keep backups in accordance with your License.
c) We may apply anti-fraud download throttles or device/IP checks.

 

16) Product Support & Updates

a) Support availability and scope are defined in the Buyer Policy and Author’s listing.
b) Updates/bug fixes are at Author discretion unless otherwise promised in the listing.
c) Major version upgrades may require separate licenses unless stated.

 

17) Reviews & Ratings

a) Buyers may leave fair, truthful reviews.
b) Review manipulation (incentivized/fake) is prohibited.
c) We may moderate or remove reviews violating Community Guidelines.

 

18) User Content & Conduct

a) You are responsible for Content you submit; do not post unlawful, defamatory, or infringing materials.
b) You grant Codoser a worldwide, non-exclusive, royalty-free license to host, store, display, distribute, and promote your public Content in connection with the Platform.
c) Private communications may be scanned for spam, malware, or policy violations.

 

19) Intellectual Property — Ownership & Platform License

a) Authors retain IP in their Products, subject to granted Buyer Licenses.
b) Authors grant Codoser rights to host, cache, index, display, and promote Product listings and previews, including in ads, emails, and social media.
c) Buyers must comply with License terms; violations may result in revocation and legal action.

 

20) Trademarks & Branding

a) “Codoser,” associated logos, and marks are Codoser’s trademarks.
b) You must not use Codoser branding without written permission, except nominative fair use.
c) Authors must respect third-party marks and follow any brand usage guidelines.

 

21) Third-Party Services

a) Products may interoperate with third-party APIs/services; such use is governed by those parties’ terms.
b) We are not responsible for third-party availability, security, or changes.
c) Your dealings with third parties are at your own risk.

 

22) Open Source & Third-Party Components

a) Products including open-source components must comply with their licenses (MIT, GPL, Apache, etc.).
b) Authors must disclose required attributions and license texts.
c) Where a copyleft license applies, scope and obligations must be clearly stated in the listing.

 

23) Beta, Experimental & Early Access Features

a) We may offer beta features “as-is,” without warranties, and may change or discontinue them anytime.
b) Beta use may be subject to additional terms; do not rely on beta for production workloads.

 

24) APIs & Developer Terms (if applicable)

a) API keys are personal/organizational secrets; rate limits and fair use apply.
b) You must not scrape or circumvent API limits; caching rules may apply.
c) We may revoke keys for abuse or security risks.

 

25) Technical Use & Security Requirements

a) No probing, scanning, or testing Platform vulnerabilities without permission.
b) Respect robots.txt and rate limits; do not impair infrastructure.
c) Report vulnerabilities responsibly via our security contact; do not publicly disclose before remediation.

 

26) Data Protection & Privacy

a) Our Privacy Policy explains what data we collect, why, and how we process it.
b) By using the Platform, you consent to processing as described therein, including cross-border transfers.
c) DPA (EU/UK): A standard Data Processing Addendum may be made available where Codoser acts as a processor.

 

27) Cookies & Similar Technologies

a) We use cookies/SDKs for essential functions, analytics, and marketing per our Cookie Policy.
b) Where required, we obtain your consent and provide opt-out options.

 

28) KYC/AML & Verification

a) We may require identity, tax, and banking verification for Authors (and in some cases Buyers).
b) Failure to complete KYC may limit features, delay payouts, or lead to suspension.
c) We comply with AML and sanctions screening obligations; see KYC/AML Policy.

 

29) Moderation & Takedowns

a) We may remove Content or suspend accounts for policy breaches, legal requests, or safety risks.
b) We may notify affected users unless legally restricted or harmful to investigations.
c) Reinstatement is at our discretion.

 

30) DMCA & IP Infringement Claims

a) We follow a notice-and-takedown process per the IP/DMCA Policy.
b) Valid notices must include required details (ownership, location, good-faith statement, signature).
c) Repeat infringement may lead to account termination.

 

31) Counter-Notice & Restoration

a) Users may submit counter-notices as allowed by law.
b) Restoration may occur if we receive a valid counter-notice and no court action is filed within the statutory period.
c) Abuse of takedown processes is prohibited.

 

32) Termination & Suspension by Codoser

a) We may suspend or terminate access for violations, fraud, legal risks, non-payment, or inactivity.
b) We may retain necessary data to comply with legal obligations.
c) Some features may degrade or become inaccessible upon suspension.

 

33) Termination by You & Effects

a) You may close your account via settings or support.
b) Closing your account does not annul previously granted Licenses to Buyers.
c) Outstanding fees, taxes, disputes, and legal obligations survive termination.

 

34) Service Availability; Maintenance

a) We aim for high availability but provide no absolute uptime guarantees unless expressly stated.
b) Planned maintenance or emergency updates may affect availability.
c) We are not liable for outages beyond reasonable control (see Clause 51).

 

35) Changes to Services

a) We may add, modify, or discontinue features or categories without liability.
b) Substantial changes that materially impact paid features will, where feasible, be communicated in advance.

 

36) Electronic Communications & Notices

a) You consent to receive communications electronically (email, in-app, website notices).
b) Legal notices to Codoser must be sent to the contact in Clause 58.
c) Notices are deemed received when sent or posted, subject to law.

 

37) International Use & Export Controls

a) You must comply with export, re-export, and import laws (e.g., EAR, EU dual-use).
b) Do not use the Platform for prohibited end uses (e.g., WMD, sanctioned entities).
c) Authors are responsible for ensuring Products comply with export control laws.

 

38) Sanctions Compliance & Restricted Jurisdictions

a) You represent you are not located in, or a resident of, a jurisdiction embargoed by India, the U.S., EU, UK, or UN sanctions, and are not a restricted party.
b) We may block access or transactions where sanctions risks are identified.

 

39) Anti-Bribery & Anti-Corruption

a) You must comply with applicable anti-corruption laws (e.g., Indian PC Act, UK Bribery Act, U.S. FCPA).
b) No bribes, kickbacks, or improper payments may be offered or accepted in relation to the Platform.

 

40) Accessibility

a) We strive to improve accessibility and usability; feedback channels are available.
b) Some third-party components may impact accessibility; report issues for remediation.

 

41) Children & Minor Users

a) The Platform is not directed to children; no one under the legal age may create an account.
b) We may delete minor accounts upon verification.

 

42) Confidentiality

a) Parties may access non-public information (e.g., payout details, security procedures).
b) Each party agrees to protect the other’s Confidential Information and use it only for legitimate Platform purposes, except as required by law.

 

43) Feedback & Publicity

a) You grant Codoser a perpetual, worldwide, royalty-free license to use feedback for improvement without obligation.
b) With permission, we may reference your brand/logo as a customer/author in marketing.

 

44) Disclaimers (No Warranties)

a) The Platform and all Products are provided “AS IS” and “AS AVAILABLE”.
b) Codoser does not warrant accuracy, completeness, compatibility, fitness for a particular purpose, or non-infringement.
c) Authors are solely responsible for their Products; Buyers must evaluate suitability before use.

 

45) Limitation of Liability

a) To the maximum extent permitted by law, Codoser’s aggregate liability for all claims arising out of or related to the Platform shall not exceed the greater of: (i) INR 25,000 or (ii) the total fees you paid to Codoser in the three (3) months preceding the event giving rise to liability.
b) No indirect or consequential damages: Codoser shall not be liable for loss of profits, revenue, data, goodwill, or business interruption.
c) Some jurisdictions do not allow certain limitations—those limits apply to the maximum extent permitted.

 

46) Indemnification

a) You agree to defend, indemnify, and hold harmless Codoser, its directors, officers, employees, and agents from claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of:
i) Your Content or Products,
ii) Your breach of these Terms or Policies,
iii) Your violation of law or third-party rights,
iv) Transactions between you and other users.

 

47) Dispute Resolution; Governing Law

a) Primary Governing Law: Indian law governs; courts of Maharashtra have exclusive jurisdiction.
b) Internal Process First: Parties must first follow the Dispute Resolution Policy (negotiation/mediation) before litigation.
c) International Users: Must also comply with local laws; consumer rights under mandatory local laws remain unaffected where applicable.

 

48) Grievance Redressal (India)

a) As required under the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, a Grievance Officer is designated—details and process are set out in the Grievance Redressal Policy.
b) We will acknowledge and resolve grievances within timelines prescribed by law or our policy.

 

49) Class Action/Jury Trial Waiver (Where Permitted)

a) To the extent permitted by law, you agree to bring claims only in your individual capacity and not as a class member in any purported class or representative proceeding.
b) Jury trial waivers apply only where lawful; otherwise local law governs.

 

50) Assignment

a) You may not assign or transfer rights/obligations without our prior written consent.
b) We may assign these Terms in connection with a merger, acquisition, or sale of assets.

 

51) Force Majeure

a) Neither party is liable for delays or failures due to events beyond reasonable control (e.g., natural disasters, war, strikes, pandemics, internet outages, government actions).
b) Affected party shall use reasonable efforts to mitigate and resume performance.

 

52) Severability

a) If any provision is held invalid or unenforceable, the remaining provisions remain in full force.
b) The invalid provision shall be deemed replaced by a valid provision that most closely reflects the original intent.

 

53) No Waiver; Cumulative Remedies

a) Failure to enforce any provision is not a waiver of rights.
b) Remedies under these Terms are cumulative and in addition to those provided by law.

 

54) Entire Agreement; Order of Precedence

a) These Terms, together with incorporated Policies and any product-specific terms, constitute the entire agreement and supersede prior understandings.
b) Precedence: (1) Any signed addendum, (2) these Terms, (3) the specifically relevant Policy, (4) other Policies, (5) FAQs/Help content.

 

55) Changes to Terms

a) We may update these Terms from time to time.
b) Material changes will be signaled without any notice where feasible; continued use constitutes acceptance.
c) The “Last Updated” date reflects the latest revision.

 

56) Survival

a) Clauses reasonably intended to survive termination shall survive, including 9, 11–14, 16–20, 22, 24–27, 29–31, 32–33, 36–47, 49–56, 58–60.

 

57) Interpretation; Headings; Language

a) Headings are for convenience only and do not affect interpretation.
b) “Including” means “including without limitation.”
c) These Terms are in English; translations (if any) are for convenience only.

59) Country-Specific Disclosures (Illustrative)

a) EU/EEA/UK: You may have statutory consumer rights and data rights under GDPR/UK-GDPR; see Privacy Policy and your local consumer law.
b) U.S.: Certain state laws (e.g., CCPA/CPRA for California) may grant additional rights—see Privacy & Cookie Policies.
c) India: Intermediary due diligence and grievance procedures apply under the IT Act and IT Rules 2021.

 

The effective version as of the time of your transaction governs that transaction, unless a later version is expressly stated to apply.
