Affiliate Policy

   This Affiliate Policy (“Policy”) governs participation in the Codoser Affiliate Program (“Program”), operated by Codoser.com (“Codoser,” “we,” “our,” “us”).

By joining the Program, affiliates (“Affiliate,” “you,” “your”) agree to comply with this Policy, which sets out the terms for promotion, commission earnings, payouts, compliance, and conduct.

The Program is open to individuals and entities globally, subject to the terms below and applicable laws.

 

1. Scope of the Policy

1.1 This Policy applies to all affiliates, including individuals, agencies, and companies promoting Codoser’s products and services.
1.2 It governs enrollment, promotion, commission calculation, fraud prevention, taxes, termination, and compliance.
1.3 Participation constitutes a binding legal agreement.

 

2. Program Purpose

2.1 The purpose of the Program is to allow Affiliates to earn commissions by referring customers to Codoser via approved marketing channels.
2.2 Affiliates act as independent promoters and not as employees, partners, or legal representatives of Codoser.

 

3. Eligibility

3.1 To participate, you must:

  • Be at least 18 years old (or legal age in your jurisdiction)
  • Operate a valid website, social media channel, or marketing platform
  • Provide accurate personal, tax, and payment information
  • Comply with applicable laws and advertising standards


3.2 Applications from high-risk or prohibited jurisdictions may be rejected.

 

4. Enrollment Process

4.1 Affiliates must apply through the official Codoser Affiliate Registration Portal.
4.2 Codoser reviews applications and may accept or reject at its sole discretion.
4.3 Incomplete or inaccurate applications may be delayed or denied.

 

5. Affiliate Account Obligations

5.1 Affiliates must maintain an active account with:

  • Valid contact and payment information
  • Accurate tax details (PAN, GST, or international equivalent)
  • Up-to-date marketing channel information


5.2 Affiliates are responsible for securing their account credentials.

 

6. Non-Transferability

6.1 Affiliate accounts and tracking links are non-transferable.
6.2 You may not sell, assign, or transfer your account or commissions without written permission from Codoser.

 

7. Affiliate Identification and Tracking

7.1 Affiliates receive unique tracking links or promo codes to track referred traffic and sales.
7.2 Tracking uses cookies and server-side methods to ensure accurate attribution.
7.3 Affiliates are responsible for using the correct links in promotions.

 

8. Commission Structure

8.1 Affiliates earn a percentage-based commission on valid referred sales.
8.2 Commission rates may vary by product category, promotional campaign, or affiliate performance tier.
8.3 Specific rates are communicated in the affiliate dashboard or program announcements.

 

9. Commission Eligibility

9.1 Commissions are earned only on eligible transactions, meaning:

  • The referred user is new and not already a registered user
  • The sale is genuine, completed, and not refunded or disputed
  • The transaction is tracked correctly through affiliate links


9.2 Self-referrals or internal purchases are not eligible.

 

10. Attribution Windows

10.1 Affiliate cookies typically last 30 days, unless otherwise specified.
10.2 Sales made within this window after the user clicks an affiliate link are attributed to the Affiliate.
10.3 Multiple affiliates referring the same user follow last-click attribution, unless overridden by special campaigns.

 

11. Payout Schedule

11.1 Commissions are paid on a monthly basis, subject to:

  • Minimum payout threshold being met
  • Clearance periods for refunds and chargebacks
  • Completion of KYC/AML checks


11.2 Payouts may be delayed for investigations or regulatory compliance.

 

12. Payment Methods

12.1 Payouts are made via approved methods such as:

  • Bank transfers (India and may selective countries)
  • PayPal or equivalent wallets
  • Other regional payment options where supported


12.2 Affiliates must bear any transaction or conversion fees charged by payment providers.

 

13. Taxes and Withholding

13.1 Affiliates are responsible for complying with their local tax laws regarding affiliate income.
13.2 Codoser may withhold taxes (e.g., TDS in India) where legally required and issue certificates.
13.3 Affiliates must provide valid tax information to avoid excessive withholding.

 

14. Commission Adjustments

14.1 Commissions may be adjusted or reversed if:

  • A transaction is refunded or charged back
  • Fraudulent or ineligible activity is detected
  • Attribution errors occur


14.2 Adjustments may reflect in subsequent payout cycles.

 

15. Fraud Prevention

15.1 Codoser actively monitors for affiliate fraud, including:

  • Self-referrals or fake leads
  • Bot traffic or incentivized clicks
  • Cookie stuffing or click hijacking
  • Misleading or illegal promotions


15.2 Fraudulent activity leads to immediate account suspension and commission forfeiture.

 

16. Prohibited Activities

16.1 Affiliates may not:

  • Misrepresent Codoser or its products
  • Use spam, unsolicited emails, or forced redirects
  • Bid on Codoser’s branded keywords in paid ads without permission
  • Engage in trademark infringement or deceptive marketing
  • Promote illegal, adult, or harmful content


16.2 Violations result in permanent termination.

 

17. Brand Usage Guidelines

17.1 Affiliates may use Codoser logos, banners, and materials only provided in the official media kit (Limited use).
17.2 Modifications are prohibited unless approved in writing.
17.3 Misuse of the brand can lead to termination and legal action.

 

18. Content and Advertising Standards

18.1 All affiliate promotions must comply with:

  • FTC Endorsement Guidelines (US)
  • GDPR & ePrivacy (EU)
  • Indian Advertising Standards Council (ASCI)
  • Local consumer protection and advertising laws


18.2 Affiliates must clearly disclose affiliate relationships (e.g., “This post contains affiliate links…”).

 

19. Geographic Restrictions

19.1 Affiliates must comply with applicable laws in their target markets.
19.2 Promotion in restricted jurisdictions (e.g., sanctioned countries) is prohibited.

 

20. Anti-Spam Compliance

20.1 Affiliates must comply with CAN-SPAM (US), GDPR (EU), and equivalent anti-spam regulations globally.
20.2 All marketing emails must include proper disclosures and unsubscribe mechanisms.

 

21. Social Media Promotions

21.1 When promoting on social media, affiliates must:

  • Use genuine, organic accounts
  • Disclose affiliate relationships clearly
  • Comply with platform terms (e.g., Meta, YouTube, TikTok)


21.2 Fake followers or engagement manipulation is strictly prohibited.

 

22. Paid Advertising Restrictions

22.1 Affiliates using paid ads must:

  • Follow bidding rules set by Codoser
  • Avoid impersonating official Codoser ads
  • Use only approved landing pages and tracking links


22.2 Unapproved paid campaigns may result in commission forfeiture.

 

23. Use of Coupons and Incentives

23.1 Affiliates may use promotional codes or offers only if officially provided by Codoser.
23.2 Unauthorized coupon distribution or fake discount claims are violations.

 

24. Content Quality

24.1 Affiliate content must be original, accurate, and relevant to the promoted products.
24.2 Clickbait, false claims, or low-quality content harm platform reputation and are prohibited.

 

25. Data Privacy Obligations

25.1 Affiliates collecting user data (e.g., via lead forms) must comply with GDPR, CCPA, and other privacy laws.
25.2 Personal data collected must not be sold or shared without proper consent.

 

26. Audit and Compliance

26.1 Codoser reserves the right to audit affiliate activities, including websites, ads, and traffic sources.
26.2 Affiliates must cooperate fully during audits and provide requested information promptly.

 

27. Suspension and Termination

27.1 Codoser may suspend or terminate affiliate accounts for:

  • Policy violations
  • Fraudulent or illegal activity
  • Repeated non-compliance despite warnings


27.2 Termination leads to forfeiture of unpaid commissions.

 

28. Termination by Affiliate

28.1 Affiliates may terminate participation at any time by submitting a written request.
28.2 Outstanding commissions are processed during the next payout cycle, subject to eligibility.

 

29. Post-Termination Obligations

29.1 Upon termination, affiliates must:

  • Stop using Codoser branding and materials
  • Remove affiliate links from all channels
  • Cease promotions immediately


29.2 Failure to do so may result in legal action.

 

30. Commission Forfeiture

30.1 Commissions earned through policy violations, fraud, or post-termination promotions are forfeited permanently.
30.2 Codoser may reclaim wrongly paid amounts.

 

31. Non-Exclusivity

31.1 The Affiliate Program is non-exclusive.
31.2 Affiliates may promote other platforms, provided such activities do not involve misleading comparisons, trademark infringement, or direct poaching of Codoser customers.
31.3 Codoser may work with multiple affiliates simultaneously without exclusivity obligations.

 

32. Relationship Between Parties

32.1 Affiliates act as independent contractors, not as employees, partners, or agents of Codoser.
32.2 Affiliates may not make commitments or representations on behalf of Codoser.
32.3 No joint venture, franchise, or partnership is created through participation in the Program.

 

33. Platform Changes Affecting Affiliates

33.1 Codoser may modify the Affiliate Program structure, commission rates, or promotional tools at any time.
33.2 Affiliates are solely responsible to check changes regularly.
33.3 Continued participation after changes implies acceptance.

 

34. Commission Disputes

34.1 Any dispute regarding commission calculations must be raised within 7 days of the relevant payout.
34.2 Affiliates must provide supporting evidence (e.g., referral logs, traffic reports).
34.3 Commission disputes are resolved in accordance with the Dispute Resolution Policy.

 

35. Account Inactivity

35.1 Affiliate accounts with no referrals or activity for 12 consecutive months may be deemed inactive.
35.2 Inactive accounts may be closed, and unclaimed commissions forfeited without any notice.

 

36. Reporting and Analytics

36.1 Affiliates may have access to real-time dashboards showing clicks, conversions, commissions, and payout history.
36.2 Codoser reserves the right to correct reporting errors, whether technical or manual.

 

37. Confidentiality

37.1 Affiliates may receive confidential information (e.g., campaign strategies, rates).
37.2 Such information must not be disclosed or used for competitive purposes.
37.3 Confidentiality obligations survive termination.

 

38. Intellectual Property Ownership

38.1 All trademarks, service marks, logos, and creative assets remain the exclusive property of Codoser.
38.2 Affiliates receive a limited, non-transferable, revocable license to use approved assets for promotional purposes only.
38.3 Unauthorized IP use is grounds for termination and legal action.

 

39. Compliance with Applicable Laws

39.1 Affiliates must comply with all applicable local, national, and international laws, including but not limited to:

  • Data protection laws (GDPR, CCPA, DPDP Act)
  • Advertising regulations (FTC, ASCI, EU directives)
  • Tax reporting and AML requirements


39.2 Codoser is not responsible for an affiliate’s non-compliance.

 

40. Anti-Fraud Cooperation

40.1 Affiliates must cooperate fully with Codoser during fraud investigations involving their traffic, referrals, or campaigns.
40.2 Refusal to cooperate may result in suspension or Permanent termination.

 

41. Indemnification

41.1 Affiliates agree to indemnify and hold harmless Codoser, its officers, employees, and partners against any claims, damages, or liabilities arising from:

  • Affiliate’s breach of this Policy
  • Non-compliance with laws
  • Fraudulent or negligent acts


41.2 This obligation survives termination.

 

42. Limitation of Liability

42.1 Codoser’s liability to any affiliate is limited to the total commissions earned and unpaid at the time of the claim.
42.2 Codoser is not liable for indirect, incidental, or consequential damages (e.g., loss of profits, goodwill, or opportunities).

 

43. Platform Downtime or Errors

43.1 Temporary downtime, reporting errors, or tracking issues may occur.
43.2 Codoser is not liable for commissions lost due to technical outages, provided reasonable efforts are made to fix them.

 

44. Force Majeure

44.1 Neither party is liable for delays or failures caused by events beyond their control (e.g., natural disasters, internet outages, government actions).
44.2 Affected obligations are suspended for the duration of the force majeure event.

 

45. Anti-Money Laundering (AML) Compliance

45.1 Affiliates must not use the program for money laundering or illicit fund movement.
45.2 Payouts may be withheld if suspicious activity is detected until legal clearance is received.

 

46. KYC Requirements

46.1 Affiliates must complete Know Your Customer (KYC) verification to receive payouts above thresholds defined by Codoser or regulators.
46.2 Incomplete KYC may result in delayed or cancelled payouts.

 

47. International Affiliates

47.1 Affiliates operating outside India must comply with their local tax, advertising, and data protection regulations.
47.2 International payouts may involve not limited to currency conversion fees, bank charges, or longer settlement timelines.

 

48. Governing Language

48.1 This Policy is drafted in English, which is the governing language for interpretation.
48.2 Translations are provided for convenience only and do not affect the legal meaning.

 

49. Assignment of Rights

49.1 Affiliates may not assign or transfer their rights or obligations under this Policy without Codoser’s written consent.
49.2 Codoser may assign its rights to successors or affiliated entities without notice.

 

50. Audit Rights

50.1 Codoser reserves the right to audit affiliate traffic sources, ad accounts, websites, and marketing methods periodically.
50.2 Non-cooperation or failure to provide requested documentation may result in termination.

 

51. Policy Violations and Consequences

51.1 Violations of this Policy may result in:

  • Warnings or corrective notices
  • Commission withholding or reversal
  • Account suspension or termination
  • Legal proceedings for serious violations


51.2 Codoser reserves sole discretion in applying consequences.

 

52. Appeals Process

52.1 Affiliates may appeal disciplinary actions by submitting supporting evidence within 15 days of the action.
52.2 Appeals are reviewed by senior program administrators, whose decision is final within the platform.

 

53. Non-Waiver

53.1 Failure by Codoser to enforce any provision of this Policy does not constitute a waiver of its right to enforce that or any other provision in the future.

 

54. Severability

54.1 If any provision of this Policy is found invalid or unenforceable by law, the remaining provisions remain in full force and effect.
54.2 Invalid clauses will be replaced with legally valid terms closest in intent.

 

55. Policy Updates

55.1 Codoser may update this Policy at any time to reflect regulatory changes, business strategies, or technological developments.
55.2 Affiliates are responsible for reviewing the Policy regularly to remain compliant.

 

56. Notification of Changes

56.1 Significant updates may be communicated via the affiliate dashboard or email.
56.2 Continued participation after updates constitutes acceptance of the revised terms.

 

57. Governing Law and Jurisdiction

57.1 This Policy is governed by Indian law, including applicable tax and advertising regulations, and relevant international frameworks.
57.2 Jurisdiction for legal proceedings is Maharashtra, India, unless otherwise required by law for international affiliates.

 

58. Dispute Resolution

58.1 Disputes arising under this Policy are resolved according to the Dispute Resolution Policy, including mediation and arbitration where applicable.

 

59. Policy Hierarchy

59.1 This Policy operates alongside:

  • Terms of Use
  • Payment, Fees & Tax Policy
  • Risk Management & Fraud Prevention Policy


59.2 In case of conflict, the more specific policy applies.

 

60. Affiliate Acknowledgment

60.1 By joining and participating in the Codoser Affiliate Program, affiliates acknowledge that they have read, understood, and agreed to this Policy.
60.2 Compliance is mandatory, and violations may result in suspension, forfeiture, or legal action.
